Terms of Service

These Terms and Conditions (“Terms”) govern your access to and use of the services, content, and materials provided in the SocialFi Academy online course (the “course”), operated by SocialFi Academy (“we”, “us”, or “our”). By accessing or using the course, you agree to be bound by these Terms.

The Course offers educational materials and resources in the form of video lessons, quizzes, and assignments aimed at teaching beginners the fundamentals of web3 and socialFi. The duration and structure of the Course, as well as the associated fees and pricing information, are subject to change at our discretion.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Course for your personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or republish any part of the Course without our prior written consent.

The Course recommends the Fluencr platform for use in conjunction with the lessons and exercises. We are not responsible for the availability, accuracy, or quality of services provided by Fluencr. Your use of Fluencr is governed by their separate terms and conditions and privacy policy.

To access the Course, you must create a user account. You agree to provide accurate, current, and complete information during the registration process and to keep such information updated. You are responsible for safeguarding your password and for any activities or actions taken under your account. You must notify us immediately if you become aware of any unauthorized use of your account.

All materials and content provided in the Course, including text, graphics, logos, images, video, and audio, are the property of SocailFi Academy or its content suppliers and are protected by copyright, trademark, and other intellectual property laws. You may access and use these materials solely for personal, non-commercial purposes and in compliance with these Terms. Any unauthorized use, reproduction, or distribution of the Course content is strictly prohibited.

We provide the Course on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Course will meet your requirements, be uninterrupted, secure, or error-free, or that defects will be corrected.

You agree to defend, indemnify, and hold harmless SocialFi Academy its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Course, your violation of these Terms, or your infringement or misappropriation of any intellectual property or other rights of any third party.

We may terminate your access to and use of the Course at any time, without notice, for any reason, including but not limited to your breach of these Terms or if we believe that your actions may cause legal liability for us or other users. Upon termination, all rights granted to you under these Terms will immediately cease, and you must promptly discontinue all access to and use of the Course.

All fees paid for access to the Course are non-refundable, and no cancellations or refunds are offered, except as required by applicable law or as expressly provided in these Terms.

You are responsible for maintaining the confidentiality of your account information and password. You agree to immediately notify us of any unauthorized use of your account or any other security breach related to the Course.

The Course may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We may modify these Terms from time to time at our sole discretion. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Course after any such changes constitutes your acceptance of the new Terms.

By accessing or using the Course, you confirm your agreement to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Courses.

By accessing and using the SocialFi Academy platform (“Platform”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms apply to all users of the Platform, including users who purchase monthly memberships. If you do not agree with these Terms, you are not permitted to use the Platform.

SocialFi Academy reserves the right to modify these Terms at any time without prior notice. Your continued use of the Platform constitutes your acceptance of any changes made to these Terms.

The Platform offers four (4) types of monthly membership plans, ranging in price from $49 to $1,889 per month. By purchasing a membership, you agree to pay the applicable fees for the chosen plan. Your membership will automatically renew at the end of each billing cycle unless you cancel or change your membership in accordance with these Terms.

By purchasing a membership, you authorize SocialFi Academy to charge your provided payment method for the applicable fees. You are responsible for maintaining accurate billing information and updating it as necessary. If a payment is not successfully processed, SocialFi Academy may suspend or terminate your access to the Platform.

You may cancel your membership at any time through the Platform's account management page. Cancellations will take effect at the end of the current billing cycle. Except as required by law, all fees paid for memberships are non-refundable, and no refunds or credits will be provided for partial months.

All content and materials available on the Platform, including but not limited to text, graphics, logos, and course materials, are the property of SocialFi Academy and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content or materials on the Platform without the express written consent of SocialFi Academy.

You agree to use the Platform in a manner that is lawful, respectful, and in accordance with these Terms. You may not use the Platform for any illegal or unauthorized purpose or engage in any activity that could damage, disable, or impair the Platform.

To the maximum extent permitted by law, SocialFi Academy shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Platform or inability to use the Platform, even if SocialFi Academy has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless SocialFi Academy, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Platform.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SocialFi Academy is incorporated, without regard to its conflict of law provisions.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, along with any other policies or guidelines referenced herein, constitute the entire agreement between you and SocialFi Academy and govern your use of the Platform, superseding any prior agreements between you and the SocialFi Academy.

You hereby agree to indemnify, defend, and hold harmless SocialFi Academy, its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, losses, damages, judgments, awards, settlements, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, your infringement or misappropriation of any intellectual property rights of any third party, or your violation of any applicable laws or regulations. This indemnification obligation will survive the termination of these Terms and your use of the Platform.

In the event of any claim or action for which the Indemnified Parties are entitled to indemnification under this clause, you agree to cooperate fully and at your expense with the defense, settlement, or other resolution of such claim or action, and you shall not enter into any settlement or resolution that adversely affects the Indemnified Parties' rights or interests without the prior written consent of SocialFi Academy. SocialFi Academy reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with SocialFi Academy in asserting any available defenses.
